Kyowa Hakko Kirin Subsidiary Chiyoda Kaihatsu To Transfer Some Operations to Uyeno Kosan

Tokyo, Japan, May 27, 2013-Kyowa Hakko Kirin Co., Ltd. (President and CEO: Nobuo Hanai; "Kyowa Hakko Kirin") today announced that consolidated subsidiary Chiyoda Kaihatsu Co., Ltd. (President and CEO: Masazumi Tanazawa; "Chiyoda Kaihatsu") has agreed to the transfer of some of its business operations to Uyeno Kosan Ltd. (President and CEO: Takashi Uyeno; "Uyeno Kosan"). The business transfer is scheduled for September 1, 2013.

Kyowa Hakko Kirin has been pursuing a policy of business portfolio streamlining by focusing management resources in its pharmaceutical and Bio-Chemicals businesses in order to make the company more competitive. This latest decision is related to the transfer of Kyowa Hakko Kirin's all shareholding in Kyowa Hakko Chemical Co., Ltd. [currently KH Neochem Co., Ltd. (President and CEO: Makoto Kikkawa; "KH Neochem")] to Japan Industrial Partners, Inc. in March 2011. KH Neochem is a major customer of the logistics business operated by Chiyoda Kaihatsu. This logistics business will be taken over by a newly established company, NCU Butsuryu Co., Ltd. (NCU), and Uyeno Kosan will acquire Kyowa Hakko Kirin's shareholding in NCU. Uyeno Group, of which Uyeno Kosan is the holding company, has expertise in chemicals distribution, so the business transfer is expected to make the logistics business more competitive.

After the business transfer, NCU will be operated as a wholly owned subsidiary of Uyeno Kosan. The business transfer will have a minimal impact on Kyowa Hakko Kirin earnings.

Under the 2013-2015 medium-term business plan starting in January 2013, Kyowa Hakko Kirin aspires to become a global specialty pharmaceutical company and is working to improve enterprise value further.
